Care Finder Service Agreement

This Care Finder Service Agreement (“Agreement”) constitutes a legal agreement between Helpr Inc. (“Helpr”) and the individual who seeks to engage Helpr services on behalf of themselves or on behalf of a dependent, partner, or other family member (“You”).

You acknowledge that it is your sole responsibility to carefully review and select any businesses, individuals, or services referred by Helpr, whether for your own use or for the benefit of another person.

Waiver, Release, and Covenant Not to Sue

You agree that Helpr and its officers, directors, employees, insurers, and anyone acting on behalf of Helpr, your employer, and any of its subsidiaries, including but not limited to your employer’s officers, directors, employees, insurers, and anyone acting on their behalf (collectively, the “Releasees”), shall have no responsibility or liability for any loss, delay, damage, personal injury, emotional distress, illness, death, costs, fees, or expenses of any kind incurred by you, your dependent(s), your partner, or any third party in connection with the use of or referral to any services or providers by the Releasees. This includes, without limitation, any harm resulting from acts of God, acts of war, government restrictions, or events caused directly or indirectly by the acts or omissions of any referred individual or organization.

Further, you voluntarily covenant not to sue the Releasees and hereby release, waive, and discharge them from and against any and all liability for any claims or causes of action arising from or related to services referred by the Releasees, including those arising on behalf of your dependent, partner, child, or any individual for whom you engage services.

You further agree that the Releasees shall not be held responsible or liable for any claims, of any nature, that may be asserted by or on behalf of your dependent, partner, or any care recipient, and you waive any claim seeking indemnity or contribution from the Releasees. You also agree to indemnify and hold the Releasees harmless from any such claims, including, without limitation, any court costs and attorneys’ fees incurred in defending against any such claim.

General

The complete contents of this waiver, release, and covenant not to sue extend to any and all claims that may be made by you, your dependent(s), partner, spouse, children, family, estate, heirs, assigns, or anyone who might assert a claim on their behalf or on behalf of a care recipient.

YOU HAVE READ THIS AGREEMENT FOR WAIVER, RELEASE OF LIABILITY, AND COVENANT NOT TO SUE. YOU UNDERSTAND THAT, BY SIGNING THIS AGREEMENT, YOU ARE GIVING UP LEGAL RIGHTS AND/OR REMEDIES THAT MAY OTHERWISE BE AVAILABLE TO YOU OR TO ANY PERSON FOR WHOM YOU ARE ACTING. YOU REPRESENT THAT YOU HAVE SIGNED THIS DOCUMENT FREELY, WITHOUT RELIANCE ON ANY ORAL REPRESENTATIONS, AND THAT YOU HAVE BEEN AFFORDED THE OPPORTUNITY TO CONSULT WITH LEGAL COUNSEL.

This document contains the entire understanding of the parties. You and Helpr agree to the foregoing and acknowledge that no oral promises or representations have been relied upon.
